Marketplace Terms & Conditions

These Marketplace Terms & Conditions ("Marketplace Terms") govern your use of the Strategiz Strategy Marketplace, including publishing, purchasing, and using trading strategies. These terms supplement our general Terms of Service.

By publishing or purchasing strategies on the Marketplace, you agree to be bound by these Marketplace Terms in addition to our general Terms of Service.

1. Definitions

• "Publisher" refers to any user who publishes a trading strategy to the Marketplace.
• "Buyer" refers to any user who acquires a strategy from the Marketplace, whether free or paid.
• "Strategy" refers to any trading strategy, algorithm, indicator set, or related content published to the Marketplace.
• "Performance Data" refers to backtesting results, metrics, and statistics displayed alongside a published strategy.

2. Publisher Obligations

By publishing a strategy to the Marketplace, you represent and warrant that:

• The strategy is your original work and does not infringe on any third-party intellectual property rights, including patents, copyrights, trademarks, or trade secrets.
• All descriptions, metadata, and categorizations are accurate and not misleading.
• Performance data has not been manipulated, cherry-picked, or artificially inflated. Backtests must reflect actual strategy logic without overfitting to historical data.
• The strategy does not contain malicious code, hidden functionality, or logic designed to harm users or their accounts.
• You will maintain and support your published strategy in good faith.

3. Intellectual Property & Licensing

Ownership: Publishers retain full ownership of their strategies. Publishing to the Marketplace does not transfer ownership to Strategiz or to buyers.

License to Strategiz: By publishing, you grant Strategiz a non-exclusive, worldwide license to host, display, promote, and distribute your strategy within the Marketplace. This license terminates when you remove your strategy from the Marketplace, except for copies already acquired by buyers.

License to Buyers: Buyers receive a non-exclusive, non-transferable license to use the strategy for their own personal trading purposes. Buyers may not resell, redistribute, reverse-engineer, or publish derivative works based on purchased strategies.

4. Performance Disclaimers

PAST PERFORMANCE DOES NOT GUARANTEE FUTURE RESULTS. All performance metrics displayed on the Marketplace are based on historical backtesting and are hypothetical in nature.

Backtested results have inherent limitations including but not limited to: survivorship bias, look-ahead bias, overfitting to historical data, and the inability to account for real-world factors such as slippage, liquidity, and market impact.

Neither Strategiz nor the publisher guarantees that any strategy will achieve similar results in live trading. Users should exercise independent judgment and consult a qualified financial advisor before deploying any strategy with real capital.

5. Pricing & Revenue

Free Strategies: Publishers may offer strategies for free. Free strategies are subject to the same quality and accuracy requirements as paid strategies.

Paid Strategies: Publishers set their own prices for one-time purchases or monthly subscriptions. Strategiz reserves the right to set minimum and maximum price limits.

Platform Commission: Strategiz retains a commission on paid strategy transactions. The current commission rate is displayed on the publisher dashboard. Commission rates may change with 30 days' notice.

Payouts: Publisher earnings are paid out according to the payout schedule displayed on the publisher dashboard, subject to minimum payout thresholds and applicable tax withholding requirements.

6. Buyer Protections

What You Receive: When you acquire a strategy, you receive access to deploy and run the strategy on the Strategiz platform. Strategy source code is not provided unless explicitly stated by the publisher.

Refunds: Refund eligibility for paid strategies is limited. Refunds may be granted at Strategiz's discretion in cases of materially misleading descriptions, non-functional strategies, or other circumstances that warrant a refund.

Disputes: If you believe a strategy is fraudulent, misleading, or violates these terms, you may file a dispute through the platform. Strategiz will investigate and may delist the strategy, issue refunds, or take other appropriate action.

7. Prohibited Content

The following types of strategies are prohibited on the Marketplace:

• Strategies designed to facilitate market manipulation, pump-and-dump schemes, wash trading, or other forms of securities fraud.
• Strategies with intentionally falsified or misleading performance data.
• Strategies that exploit platform vulnerabilities or circumvent trading safeguards.
• Strategies copied or plagiarized from other publishers without authorization.
• Strategies that contain hidden logic to benefit the publisher at the expense of buyers.

8. Removal & Delisting

By the Publisher: Publishers may remove their strategies from the Marketplace at any time. Existing buyers retain access to previously acquired strategies.

By Strategiz: We reserve the right to remove or delist any strategy at our discretion, including but not limited to cases of:

• Violation of these Marketplace Terms or our general Terms of Service
• Intellectual property infringement claims
• Fraudulent or misleading performance claims
• User complaints or disputes that cannot be resolved
• Legal or regulatory requirements

9. Indemnification

Publisher Indemnification: Publishers agree to indemnify and hold harmless Strategiz from any claims, damages, or losses arising from their published strategies, including intellectual property infringement claims and losses incurred by buyers.

Limitation of Liability: Strategiz is not liable for trading losses, financial damages, or other harm resulting from the use of any Marketplace strategy. Strategiz acts solely as a platform and does not endorse, verify, or guarantee any strategy's performance or suitability.

10. Changes to These Terms

We may update these Marketplace Terms from time to time. Material changes will be communicated through the platform or via email. Continued use of the Marketplace after changes constitutes acceptance of the updated terms.

By publishing or acquiring strategies on the Strategiz Marketplace, you acknowledge that you have read, understood, and agree to be bound by these Marketplace Terms & Conditions.
