IMPORTANT NOTICE: Strategiz is a software platform for creating and testing trading strategies. We are NOT a financial advisor, broker, or investment firm.

Not Financial Advice: All content, tools, and strategies provided through the Service are for informational and educational purposes only. Nothing on our platform constitutes financial, investment, tax, or legal advice.

No Guarantees: Past performance does not guarantee future results. Backtesting results are hypothetical and may not reflect actual trading outcomes.

Risk Disclosure: Trading involves substantial risk of loss. You may lose some or all of your invested capital. Only trade with money you can afford to lose.

Your Responsibility: You are solely responsible for your trading decisions and any consequences thereof. We strongly recommend consulting with a qualified financial advisor before making investment decisions.

6. Intellectual Property

Our Content: The Service and its content (including software, code, designs, logos, and documentation) are owned by Strategiz and protected by copyright, trademark, and other intellectual property laws.

Your Content: You retain ownership of trading strategies, code, and other content you create ("Your Content"). By using the Service, you grant us a limited license to host, store, and process Your Content to provide the Service.

Published Strategies: If you publish strategies to our marketplace, you grant us and other users a license to view and use those strategies according to the terms you set.

7. Third-Party Services

Our Service integrates with third-party providers including:

• Brokerage APIs (Alpaca, Robinhood, Coinbase, etc.)
• Market data providers (Yahoo Finance, CoinGecko, etc.)
• AI services (third-party AI providers)
• Authentication providers (Google, Facebook)

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or reliability of third-party services.

8. Fees and Payments

Subscription Plans: We offer various subscription tiers (Scout, Trader, Strategist). Pricing and features are displayed on our pricing page.

Billing: Subscriptions are billed monthly or annually. Payment is processed through Stripe. You agree to pay all fees associated with your subscription.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds for partial periods.

Price Changes: We reserve the right to change pricing with 30 days' notice. Continued use after price changes constitutes acceptance.

9. Termination

By You: You may terminate your account at any time through account settings.

By Us: We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion.

Upon termination, your right to access the Service ceases immediately. We may delete your data after account closure, subject to our data retention policies.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Results from the Service will be accurate or reliable
• Defects will be corrected
• Third-party data will be available or accurate

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRATEGIZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES ARISING FROM YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless Strategiz, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of third parties
• Your trading activities and decisions

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court.

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use after changes constitutes acceptance of the modified Terms.
